1. Acceptance of Terms

By accessing and using the Universal Group Wellness Program platform ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Eligibility

This Service is available exclusively to employees of The Universal Group and their eligible dependents as defined in company policy. You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

5. Wellness Programs and Services

The wellness programs, resources, and information provided through the Service are for general informational and educational purposes only. They are not intended to:

  • Constitute medical advice, diagnosis, or treatment
  • Replace consultation with qualified healthcare professionals
  • Create a doctor-patient or therapist-client relationship

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by The Universal Group and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of the content without our express written permission.

The Service may contain links to third-party websites or services that are not owned or controlled by The Universal Group. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such content, goods, or services.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, THE UNIVERSAL GROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL THE UNIVERSAL GROUP, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

10. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Your access to the Service will also terminate upon the end of your employment with The Universal Group.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the province in which you are employed, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
